If you register, purchase or enquire of  us you may be asked to or provide certain information such as contact details and items you wish to purchase or discuss; even if you do not register information such as an IP address may be received. By submitting any details and/or indicating interest in products and services we described in our site(s) and otherwise, you agree to the use of this information as described herein. We may store this information electronically or in hard copy and may use such data to fulfil contracts with you, to communicate with you and to improve services generally. The method of processing of any information is at our control and it will comply with the requirements of the General Data Protection Act, 25 May 2018 and any subsequent prevailing amendments. We may use your information for record keeping and may divulge details to bona fide professional organisations acting upon our instruction in the normal course of business; we will not sell or divulge your details to third parties unless required by law to do so. SALE

1. All prices and product information are subject to alteration without notice.
2. Any offer may be withdrawn without notice at any time prior to acceptance of Order.
3. All offers are made without engagement and no liability is accepted for loss, damage or delays caused by Government order, war, civil commotion, disasters, accidents, fires, suppliers, strikes or any other cause beyond our reasonable control.
4 While all reasonable steps are taken to deliver goods within the delivery period no responsibility is accepted by us for failure so to do. We reserve the right to deliver and transact in more than one shipment at our discretion.
5. Goods are covered under the terms of our standard Warranty, copies of which are available on upon request. Save as expressly stated therein no liability shall be accepted by us for any loss or damage or injury arising directly or indirectly in connection with goods supplied by us or their use; however, nothing in these Conditions shall be deemed to exclude or limit: (a) liability for personal injury or death caused by our negligence (b) any other liability which cannot be excluded or limited under applicable law nor, to the extent of any mandatory requirement of English Law, for damage to tangible personal property of customer or its employees caused by our negligence.
6. Customer’s goods and materials are accepted for holding or processing by us at Customer’s own risk. Reasonable care and precaution will be taken with such goods or materials.
7. Risk in goods ordered shall pass to Customer upon despatch from us ex works, but title to the goods shall remain with us until payment in full is received by us. If goods have been sold, Customer will hold any proceeds from the sale to our benefit alone.
8. Cancellations, or returns of unused goods, may be effected only with prior written agreement and goods must be returned to us in original condition and wrapping carriage paid.
9. To the extent that any provision herein may be rendered void by prevailing mandatory national or regional legislation or treaty, such provision shall be deemed deleted and these Conditions of Sale shall remain effective to the extent permitted. In the event of any conflict between these Conditions of Sale and any transaction conditions stated by others, these Conditions of Sale shall prevail.
10. All Orders accepted, Contracts undertaken and Supplies made shall be governed by and construed in accordance with the Laws of England and interpreted in the English Courts.

CONDITIONS OF PURCHASE

1. The goods or services supplied by the merchant (Seller) under an Order of purchase from Bold and Bright Limited (B&B) shall conform to the specifications laid down by B&B and be of the best materials and/or workmanship and to the entire satisfaction of B&B. In the event of a proposed substitution of a component or part or issue date from that originally specified or supplied as part of an ongoing supply, then and regardless of the fact that the specification of such component or part may appear identical to the previous, Seller shall seek approval from B&B in writing in advance. In the event of a breach of this condition B&B shall be entitled: (a) to reject either all the goods or services ordered by this Order or such part of them as it is dissatisfied with or (b) to treat the Order as repudiated.
2. In the event of the Seller being unable to comply with the performance instructions in this Order, the Seller must inform B&B of the fact who shall be at liberty to vary the terms of this Order or cancel the same as it thinks fit and will notify the Seller of any such variation or cancellation.
3. Whenever in this order delivery is required within a fixed time, such time shall be of the essence of the Order and if the Seller does not deliver the goods or services ordered within the time stated B&B may treat such non-delivery as a breach of condition of the Order and B&B shall have the right to reject the goods or services and treat the Order as repudiated.
4. Notwithstanding the conditions herein contained, B&B may, subject to Seller’s acceptance, vary the time of the delivery of the goods ordered but such time as varied shall nevertheless be of the essence of the Order and all remaining conditions herein shall apply to such time as varied.
5. If goods are delivered in excess of the quantity ordered, then B&B may reject the excess quantity of such goods and return them to the seller at the Seller’s expense.
6. This Order is placed with the Seller by B&B on the express conditions that if accepted by the Seller, no information of any kind whatsoever regarding this Order or its placing by B&B, whether as to the nature, quantity of quality of the goods or material hereby ordered or otherwise shall be divulged or disclosed by the Seller or any of the Seller’s employees or agents to any person or persons without the prior written consent of a Director of B&B other that as required by law.
7. Any intellectual property rights in improvements or developments relating to this Order shall vest in B&B.
8. Any non-general screens, moulds, plans, aids to production and the like, furnished by the Seller or B&B shall be the property of B&B and shall not be used for any purpose other than that for B&B.
9. B&B’s representatives are authorised to collect goods intended for B&B and to sign for them ‘unexamined’ but not otherwise and B&B reserve the right to reject such goods in whole or in part upon examination at the specified destination within a reasonable time of delivery.
10. If the business of B&B shall be stopped, interrupted or restricted by riot, lock-out, strike (whether of the employees of B&B or any other persons) fire, explosion or any other cause whatsoever B&B shall have the right to cancel this Order by informing the Seller by any method in respect of any goods or services undelivered at the date of such cancellations and/or to defer the date or dates of delivery and of payment until the business of B&B shall be re-opened.
11. The Seller will indemnify B&B against all actions, costs, claims, damages, demands and liabilities for or in respect of any proceedings brought or threatened to be brought against either B&B or its customers or others by any person being a patentee or other person alleging that the goods ordered or the sale thereof by it or its customers or the use thereof constitutes an infringement of a patent or of other intellectual property protective rights.
12. Packing, transport and freight charges (if any) to be charged by the Seller must be itemised to B&B separately and notified prior to the placing of any order.
13. A Certificate of Origin stating country of manufacture and a packing note describing the goods sold and the case(s) in which it (they) are packed must accompany every delivery.
14. Any returnable container or part must be clearly indicated in advance and marked so and bear the Seller’s full name and address, failing which B&B Limited will be under no duty to return such and under no liability to pay for or in respect of them.
15. Save as varied by these Conditions of Purchase the prevailing laws appertaining to the sale of goods and/or services shall apply. In the event of any of these Conditions of Purchase being in conflict with any prevailing laws, the non-conforming clause or part shall be deemed deleted form the Order and the remaining part(s) of the Conditions shall stand to the extent permissible.
16. It is a condition of this Order that where a National or Area Directive is applicable to goods ordered, the goods shall comply with the standards of that relevant Directive(s) and it shall be clearly indicated.
17. In the supply of perishable or consumable product, should Seller become aware that the potential ‘use by date’ may be compromised Seller will give warning to B&B in writing at the earliest possible opportunity.
18. This Order may be varied only by notification in writing, authorised by a Director of B&B. In the event of any conflict between these Conditions of Purchase and any conditions stated by Seller these Conditions of Purchase shall prevail.
19. These Conditions of Purchase shall be governed by and construed in accordance with the Laws of England and interpreted in the English Courts.
